CONFIDENTIALITY

Brand Shepherd acknowledges its responsibility, both during and after its appointment, to use all reasonable efforts to preserve the confidentiality of any proprietary or confidential information or data developed by Brand Shepherd on behalf of our clients or disclosed by our clients to Brand Shepherd.

OWNERSHIP

Whatever we create for your brand, you own it outright when your invoice is paid in full.

PAYMENT TERMS

Project timelines officially start when the down payment is received.

The down payment invoice, as well as all subsequent invoices, will be sent via email and are payable online in a variety of methods.

We invoice for all time spent on your project every 30 days. Payment is due Net 15 of the invoice date unless we have agreed on an alternate payment schedule.

Payments may be made by bank transfer or check.

It is vital to the health of our relationship that payments are made no later than the due date.

Please plan for mailing time when mailing checks. For instance, if your payment is due on the 15th and you mail it to us on the 14th, there is a high probability that your payment will be considered late.

We will notify you should we see that the total hours/cost is going to go beyond what is estimated, and will not proceed with any overages unless approved by you.

When a payment is more than 5 days late, all work is paused until the account is updated. 

PAYMENT TYPES

• Flat Rate 
  A project is vetted for a specific scope of work needed. We provide a flat rate quote for the scope of work. Deliverables reflect the scope of work. We invoice at our full agency rate of $185.00/hour.
  
• Block Of Hours 
  This is a great fit for brands that need to stay within a set budget. The tradeoff with Blocks Of Time is that no deliverables are guaranteed. We simply apply the time needed toward a known scope of work. Blocks sold in units of 10-hours which can be stacked.
• Retainers 
  Brands that have many known and unknown needs across their products use our retainer approach to buy an average number of hours per month for 3-month periods of time, which can be stacked into quarterly and annual retainers. Deliverables are determined project by project within the retainer. A discounted agency rate is applied, depending on the length of the retainer.

All time is tracked and invoiced by the minute. We do not round up time tallies.

DURATION, EXPIRATION, REFUNDS, AND CANCELATION

The scope, processes, and budget outlined in our proposals expire one calendar month from the date on the first page.

You or Brand Shepherd can cancel the project for any reason with 30 calendar days’ notice. All time we have spent on a project will be invoiced and payment in full is required before releasing any assets we created.

Brand Shepherd does not offer full refunds. However, should a project need to be canceled, we will refund any amount paid to us that exceeds what has been spent on the project.

RIGHT TO REFUSE

Brand Shepherd reserves the right to refuse projects at our discretion.
